Terms of Service

1. This agreement

These terms govern your use of EnvironDesk, operated by EnvironDesk Technologies Pvt. Ltd., Ahmedabad, Gujarat, India ("EnvironDesk", "we", "us"). By creating an account or using the service you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind it.

2. What EnvironDesk is — and isn't

EnvironDesk is software for tracking environmental compliance obligations. It helps you record consents, monitor deadlines, store documents, log lab results and draft forms.

EnvironDesk is not a legal or regulatory adviser, and using it is not compliance. The obligations under the Water Act, the Air Act, the Environment (Protection) Act and the rules under them rest with the occupier and, where applicable, its officers. Alerts, forms and drafts produced by the platform are aids to your professional judgement, not a substitute for it. You are responsible for verifying anything you file with a regulator.

Guides and content published on our website are general information, not advice on your specific situation.

3. Your account

• You must provide accurate registration information and keep it current.
• You are responsible for the security of your credentials and for everything done under your account.
• You must tell us promptly of any unauthorised access.
• You are responsible for the acts and omissions of your team members and any client users you invite.
• Accounts are per-organisation. Sharing one login across a firm is not permitted, and defeats the audit trail you may later need.

4. Free trial

The 14-day trial includes the features of the Business plan. No card is required and nothing charges automatically when it ends. If you do not subscribe, your workspace becomes read-only and you may export your data; we delete trial data 90 days after the trial ends.

5. Subscriptions and billing

• Fees are as set out on our pricing page and exclude 18% GST, which is charged additionally.
• Monthly plans are billed in advance each month; annual plans are billed in advance for twelve months.
• Plan limits are based on active factories and team members. Exceeding a limit requires an upgrade.
• Upgrades take effect immediately and are charged pro rata. Downgrades take effect at the next renewal.
• We may revise prices with 30 days' notice. Existing annual terms are unaffected until renewal.
• Late payment may lead to suspension after notice.

6. Cancellation and refunds

You may cancel at any time from within the platform. Monthly subscriptions end at the close of the current billing cycle. Annual subscriptions end at the close of the annual term.

We do not refund fees for a partial period, except where required by law or where we have materially failed to provide the service. If we terminate your subscription other than for your breach, we refund the unused portion.

On cancellation you retain export access for 30 days. We delete your data within 90 days thereafter, save where we must retain records by law.

7. Your data stays yours

You own all data you upload. You grant us only the licence needed to host, process and display it in order to provide the service, and to support you when you ask.

We do not sell your data, do not share it with other customers, and do not use your client or factory data to train models offered to anyone else. You can export everything, in open formats, at any time, without asking us.

8. Acceptable use

You must not:

• Use EnvironDesk to store or transmit unlawful content, or to falsify records intended for a regulator.
• Attempt to access another customer's data, or probe or breach our security.
• Reverse engineer, resell or white-label the platform other than under an Enterprise agreement permitting it.
• Send alerts to people who have not consented to be contacted, or use the WhatsApp integration for marketing.
• Upload malware, or use the service in a way that degrades it for others.

We may suspend an account for a material breach of this section, with notice where circumstances allow.

9. Availability and support

• Business plans carry a 99.5% monthly uptime target; Enterprise carries 99.9%, with service credits as set out in the Enterprise agreement. Starter and Professional are provided without an uptime commitment.
• Planned maintenance is notified in advance and scheduled outside Indian business hours where possible.
• Targets exclude downtime caused by factors outside our reasonable control, including your own network or a third-party provider such as WhatsApp.
• Support channels and response expectations vary by plan, as described on the pricing page.

10. Third-party services

EnvironDesk integrates with third-party services including the WhatsApp Business API, email delivery providers and cloud infrastructure. We are not responsible for their acts, omissions or availability, and their own terms apply to your use of them. A failure by a third party to deliver a message does not transfer your compliance obligation to us.

11. Limitation of liability

To the maximum extent permitted by law, and except in respect of liability that cannot lawfully be excluded:

• Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings.
• Our total aggregate liability arising out of or in connection with this agreement is limited to the fees you paid us in the twelve months preceding the claim.
• We are not liable for regulatory penalties, closure directions, prosecutions or losses arising from a missed deadline, a rejected application or an incorrect filing. The platform assists you in meeting obligations that remain yours. This is not a disclaimer of our own negligence — it is the boundary of what a software tool can be responsible for.

Nothing in these terms excludes liability for fraud, or for death or personal injury caused by negligence.

12. Indemnity

You will indemnify us against claims arising from your unlawful use of the service, your breach of section 8, or a third party's claim that data you uploaded infringes their rights.

13. Intellectual property

We own the platform, its software, design and documentation. You own your data. Neither party gains rights in the other's intellectual property beyond the licences expressly granted here. Feedback you give us may be used freely to improve the product, without obligation to you.

14. Changes to these terms

We may update these terms. Where a change materially affects your rights, we will give 30 days' notice by email, and continued use after it takes effect constitutes acceptance. If you do not accept a material change, you may cancel and we will refund any prepaid, unused fees.

15. Governing law and disputes

These terms are governed by the laws of India. The courts at Ahmedabad, Gujarat have exclusive jurisdiction. Before commencing proceedings, both parties agree to attempt to resolve the dispute in good faith for 30 days.
